Custom Development Terms
Last updated: 1 November 2026
These terms apply to quoted projects such as custom websites, mobile apps, portals, e-commerce platforms, integrations, automation and enterprise software.
1. Scope
Every custom project starts with a written proposal or statement of work that sets out the deliverables, features, platforms, milestones, timeline and price. Only the work described in the agreed scope is included. A signed project agreement takes priority over these terms where they conflict.
2. Pricing and payment
- Custom projects are priced individually based on the agreed scope. They are not covered by the website subscription plans.
- Unless agreed otherwise, a deposit is due before work starts, with the balance paid against milestones set out in the proposal.
- Invoices are due within 7 days. We may pause work while invoices are overdue, and timelines will move accordingly.
- Third-party costs (app store accounts, hosting, paid APIs, SMS, licences, premium plugins) are charged separately or paid directly by you.
3. Changes to scope
Requests that add to or change the agreed scope are handled through a written change request with the cost and timeline impact. We will not start additional work until you approve it. We do not offer unlimited revisions; the number of design and revision rounds is set out in the proposal.
4. Your responsibilities
- Provide content, feedback, decisions, test data and access to accounts or systems within agreed timeframes.
- Nominate a person who can make decisions and approve work.
- Make sure content and data you provide are lawful and that you have the right to use them.
Delays in providing these may change the delivery timeline and, if a project is paused for more than 30 days, the price.
5. Timelines
Timelines in proposals are good-faith estimates based on the agreed scope and timely input from you. We will keep you informed of progress and of anything that affects delivery.
6. Testing and acceptance
We test deliverables before handing them over. You will have 10 business days (or the period stated in the proposal) to review each deliverable and report defects against the agreed scope. Deliverables are accepted when you approve them, when that period passes without a defect report, or when you start using them in live operation.
7. Warranty and support
We fix defects (where the software does not work as described in the agreed scope) reported within 30 days of acceptance at no extra cost. This does not cover new features, changes in requirements, issues caused by third-party services, operating system or browser updates, or changes made by anyone else. Ongoing maintenance, hosting and support after this period are available under a separate support agreement.
8. Intellectual property
- Project deliverables: once you have paid all fees for the project in full, you own the custom code, designs and materials we create specifically for your project, unless the proposal says otherwise.
- Our pre-existing materials: Cholan Technology Solutions Limited keeps ownership of its pre-existing and reusable code, components, libraries, frameworks, templates, platforms, tools and know-how, including anything we developed independently of your project. Where these are included in your deliverables, you receive a non-exclusive, perpetual licence to use them as part of your project. You may not resell or redistribute them separately.
- Third-party and open-source components: these remain subject to their own licences.
- Portfolio: unless you ask us not to in writing, we may mention that we worked with you and show non-confidential screenshots of the work in our portfolio.
9. Confidentiality and data
Each party will keep the other's confidential information confidential. Where we process personal data on your behalf (for example your customers' data in a portal we build or support), we will do so only on your instructions, keep it secure, and not use it for any other purpose. See our Privacy Policy.
10. Hosting and accounts
Wherever practical, production hosting, app store listings, domains and third-party service accounts should be registered in your name. Where we hold accounts for you, we will hand over access when the project ends and all fees are paid.
11. No guaranteed outcomes
We do not guarantee commercial results, app store approval (which is decided by Apple and Google), or search engine rankings.
12. Cancellation
Either party may end a project with written notice. You pay for work completed and committed third-party costs up to that date. See the Cancellation and Refund Policy.
13. General
Our Terms and Conditions, including the limitation of liability and governing law, also apply to custom projects.
